1. Acceptance of Terms

If you do not agree with any part of these Terms, you must discontinue use of our Services immediately. These Terms constitute a legally binding agreement between you and Suite Life Privé.

Suite Life Privé offers bespoke concierge and lifestyle management services specifically designed for discerning high-net-worth individuals, families, and corporate clients who value exceptional service and absolute discretion. Our comprehensive services include but are not limited to luxury travel planning and coordination, exclusive dining reservations and culinary experiences, entertainment and event planning, personal shopping and styling services, property and household management, business support services, emergency assistance and problem resolution, and access to exclusive venues and experiences.

Our role as your lifestyle concierge is to curate, coordinate, and facilitate access to luxury experiences and comprehensive lifestyle support. We serve as your dedicated liaison with premium service providers, exclusive venues, and specialized professionals to ensure seamless execution of your requests. All services are delivered with the highest standards of discretion, professionalism, and attention to detail that our clientele expects and deserves.

3. Client Eligibility and Account Requirements

Our Services are available exclusively to individuals who are at least 18 years of age and possess the legal capacity to enter into binding agreements. By using our Services, you represent and warrant that you meet these eligibility requirements. You agree to provide accurate, complete, and current information when creating your account or profile, and to promptly update this information as necessary to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly in cases involving fraudulent activity, violation of these Terms, or behavior that compromises the safety or experience of other clients.

4. Service Requests and Fulfillment

We will acknowledge receipt of your requests and provide estimated timelines for fulfillment based on complexity, availability, and geographic considerations. While we maintain extensive networks and partnerships to accommodate even the most unique requests, we cannot guarantee the availability of specific services, venues, or experiences, particularly those involving third-party providers with limited capacity or exclusive access requirements.

We reserve the right to decline requests that we determine to be illegal, unethical, potentially harmful, or inconsistent with our brand values and professional standards. Our team will work diligently to suggest suitable alternatives whenever possible, and we commit to transparent communication about any limitations or challenges in fulfilling your requests.

5. Fees, Payment Terms, and Billing

Our fee structure includes membership fees, service fees for specific requests, third-party costs for goods and services procured on your behalf, and any applicable taxes and gratuities. We require payment of membership fees in advance, and service fees are typically charged upon completion of services unless alternative arrangements have been made.

You agree to pay all charges incurred through your account, including any third-party costs we advance on your behalf. We accept various forms of payment including credit cards, wire transfers, and other methods as agreed upon. Late payments may result in service suspension and additional fees. You are responsible for any chargebacks, disputed charges, or payment reversals, along with any associated fees or costs we incur as a result.

6. Third-Party Providers and Service Limitations

Many of our Services involve coordination with carefully selected third-party providers including hotels, restaurants, transportation companies, entertainment venues, retailers, and specialized service professionals. While we maintain rigorous standards in selecting these partners and work exclusively with reputable, high-quality providers, we cannot control all aspects of their service delivery, availability, pricing, or policies.

We endeavor to select trusted partners and negotiate favorable terms on your behalf, but we cannot guarantee specific outcomes, availability, or experiences beyond our reasonable efforts and industry expertise. Our responsibility is limited to making diligent efforts to secure the services you request and to communicate any limitations or changes promptly and transparently. We are not responsible for the independent actions, policies, or service failures of third-party providers, though we will assist in resolving any issues to the extent possible.

7. Confidentiality and Discretion

Your privacy and discretion are fundamental to our service philosophy and business model. We handle all client information, service requests, personal preferences, and lifestyle details with the utmost confidentiality and professional discretion. Our team members are bound by strict confidentiality agreements and are trained to maintain the highest standards of privacy protection.

We do not discuss your affairs with unauthorized parties, share details of your requests or preferences, or acknowledge your status as a client unless explicitly authorized by you or required by law. This commitment to discretion extends to all aspects of our service delivery, from initial consultation through ongoing service provision and any necessary third-party coordination.

8. Limitation of Liability and Disclaimers

Suite Life Privé provides Services on an “as is” and “as available” basis without warranties of any kind, either express or implied. We disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement. While we strive for excellence in all aspects of our service delivery, we cannot guarantee that our Services will be uninterrupted, error-free, or meet all of your expectations in every circumstance.

Our total liability to you for any claims arising from or related to our Services is limited to the amount of fees you have paid to us in the twelve months preceding the claim. In no event shall Suite Life Privé be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost opportunities, or reputational harm, regardless of whether we have been advised of the possibility of such damages.

This limitation of liability applies to all claims whether based on contract, tort, strict liability, or any other legal theory, and regardless of whether the claim arises from our actions, omissions, or those of our third-party partners.

9. Indemnification

You agree to indemnify, defend, and hold harmless Suite Life Privé, our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses including reasonable attorney’s fees arising from your use of our Services, your violation of these Terms, your violation of any rights of another party, or any illegal or unauthorized use of our Services through your account.

10. Intellectual Property Rights

All content, materials, branding, logos, trademarks, service marks, trade names, and intellectual property displayed on our website or used in connection with our Services are the exclusive property of Suite Life Privé or our licensors and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our intellectual property without our express written permission.

The Suite Life Privé name, logo, and all related marks are trademarks of our company. Unauthorized use of these marks is strictly prohibited and may violate federal and state trademark laws.

11. Cancellation and Refund Policy

Service requests may be cancelled or modified subject to the cancellation policies of third-party providers and any associated fees or penalties. We will make reasonable efforts to minimize cancellation charges, but clients are responsible for any non-refundable deposits, penalties, or fees imposed by third parties. Membership fees are generally non-refundable except as required by applicable law or in cases of material breach by Suite Life Privé.

We reserve the right to cancel or suspend Services in cases of non-payment, violation of these Terms, or circumstances beyond our reasonable control. In such cases, we will provide appropriate notice and work to minimize any inconvenience to you.

12. Force Majeure

Suite Life Privé shall not be liable for any failure or delay in performance of our Services due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, war, civil unrest, government actions, labor disputes, supply chain disruptions, pandemic-related restrictions, or failures of third-party systems or services. In such circumstances, we will make reasonable efforts to minimize disruption and provide alternative solutions where possible.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Las Vegas, Nevada, and shall be conducted by a single arbitrator with experience in commercial disputes.

Notwithstanding the foregoing, either party may seek injunctive relief in the state or federal courts located in Clark County, Nevada, to protect intellectual property rights or confidential information. You waive any right to a jury trial and agree that any arbitration will be conducted on an individual basis, not as part of a class action or representative proceeding.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall remain in full force and effect.
